Sourcerer Terms and Conditions

Welcome to Sourcerer! These terms and conditions ("Terms") govern your access to and use of our services, including our website, software, APIs, and any related products or services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

1. Acceptance of Terms

License to Use: Sourcerer grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes in accordance with these Terms.
Restrictions: You may not copy, modify, distribute, create derivative works from, reverse engineer, or otherwise attempt to discover any source code or trade secrets related to the Services without our prior written consent.

5. User Content

Content Ownership: You retain ownership of any content you submit, post, or display on or through the Services ("User Content"). By submitting User Content, you grant Sourcerer a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, create derivative works from, communicate, publish, publicly display, and distribute such content for the purpose of operating, promoting, and improving the Services.

Representations: You represent and warrant that you have all necessary rights to grant the licenses set forth in these Terms, and that your User Content does not infringe or violate the rights of any third party, including intellectual property, privacy, and publicity rights.
Content Removal: Sourcerer reserves the right to remove or disable access to any User Content for any reason, including content that Sourcerer, in its sole discretion, deems to be objectionable, in violation of these Terms, or otherwise harmful to the Services or users.

6. Data Privacy and Security

*Data Privacy: Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information when you use our Services. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.

7. Payments and Subscriptions

Payment Terms: Payments for subscriptions are due in advance and will be billed on a recurring basis as agreed upon at the time of purchase. You authorize Sourcerer to charge your payment method on file for all amounts due.
Renewals and Cancellations: Subscriptions will automatically renew at the end of each term unless you cancel your subscription through your account settings prior to the end of the current subscription period. If you cancel, your subscription will terminate at the end of the current billing cycle, and you will not be charged for subsequent periods.
Refunds: All fees are non-refundable, except as required by law or as otherwise expressly stated in these Terms.

8. Termination and Suspension

Termination by Sourcerer: We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, with or without notice, for any reason, including but not limited to a violation of these Terms. Upon termination, your right to use the Services will immediately cease, and any data or content you have stored on our Services may no longer be accessible.

Termination by You: You may terminate your account at any time by contacting us at support@sourcererai.com. Upon termination, you must immediately cease all use of the Services, and Sourcerer will delete your account and any associated data in accordance with our data retention policies.

9. Disclaimers

No Warranties: The Services are provided on an "as is" and "as available" basis. Sourcerer makes no representations or warranties of any kind, express or implied, as to the operation of the Services, or the information, content, or materials included therein. To the fullest extent permissible by applicable law, Sourcerer disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI Limitations: You acknowledge that AI technologies are still evolving, and the results generated by our AI services may not always be accurate or reliable. You agree to independently verify any critical outputs and use your own judgment when making decisions based on the Services.

10. Limitation of Liability

Indemnity: You agree to defend, indemnify, and hold harmless Sourcerer, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, actions, or demands, including, without limitation, reasonable legal and accounting fees, arising out of or resulting from your violation of these Terms, your misuse of the Services, or your infringement of any intellectual property or other rights of any third party.

12. Governing Law and Dispute Resolution

"Confidential information" includes, but is not limited to, non-public information regarding our technology, business operations, strategies, and pricing, as well as any other information that is marked or otherwise identified as confidential at the time of disclosure.

15. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices published by Sourcerer, constitute the entire agreement between you and Sourcerer concerning the Services.

Severability If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Sourcerer’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
